Procedures to strike off a company in Singapore
Which documents are required for strike off?
The following documents are required along with submission of the tax clearance and strike off to the authorities in chronological order:
- Zeroised unaudited financial statements ("UFS");
- Tax Clearance Submission to Inland Revenue Authority Singapore ("IRAS");
- Upon receipt of Tax Clearance, we will notify you for the closure of bank account;
- Resolution(s) for e-signatures by the Director(s) and Shareholder(s) of the Company as of the day where application of strike off is ready to proceed as well as the strike off lodgment with the Accounting and Corporate Regulatory Authority ("ACRA"); and
Submission of strike off to ACRA.
How long does the strike off process take?
Please note that you should send us the financial statements of the last financial year in order to start the process.
The entire strike off process takes approximately 6-months depending on how soon the relevant authorities respond. However, in general, upon submission of strike off
with ACRA, the following timeline will be aligned:
- ACRA will issue the first gazetted notice within 30 days from the date of application of strike off is lodged (if there's no objection to the strike off received);
- ACRA will issue the final gazetted notice within 60 days from the first gazette (if there's no objection to the strike off received); and
- Company will be officially struck off from ACRA.
Please note that during the 6-months period mentioned above, our company secretary, nominee director and registered address would remain a mandatory service for the
company.
